ABIDE – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ABIDE platform, products, and services (collectively, the “Services”). By accessing or using ABIDE, you agree to be bound by these Terms.

If you do not agree, do not use the Services.

 

1. About ABIDE

ABIDE provides cloud-based financial automation and intelligence solutions designed to help organizations manage and optimize financial workflows, including accounts payable and accounts receivable.

ABIDE is provided by ABIDE Financial Services (“ABIDE,” “we,” “our,” or “us”).

2. Eligibility & Authority

You must be legally capable of entering into a binding agreement to use the Services.
If you are using ABIDE on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Use of the Services

You agree to use the Services only:

  • For lawful business purposes

  • In compliance with all applicable laws and regulations

  • In accordance with these Terms and any applicable documentation

You may not:

  • Reverse engineer, copy, or resell the Services

  • Use the Services to store or transmit malicious code

  • Attempt to gain unauthorized access to ABIDE systems

  • Use the Services in a way that interferes with or degrades performance for others

4. Account Registration & Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activity occurring under your account

  • Ensuring that information you provide is accurate and up to date

You must notify ABIDE promptly of any unauthorized access or security breach.

5. Data & Customer Content

Your Data

You retain ownership of all data, documents, and information you submit to ABIDE (“Customer Content”).

You grant ABIDE a limited license to host, process, and use Customer Content solely to provide and improve the Services.

Data Protection

ABIDE implements appropriate technical and organizational measures to protect Customer Content. Our handling of data is governed by our Privacy Policy.

6. AI & Automation Features

Certain ABIDE features may use artificial intelligence or automated decision support.

  • AI outputs are intended to assist—not replace—human judgment

  • You remain responsible for reviewing, validating, and approving financial decisions

  • ABIDE does not guarantee that AI-generated outputs are error-free or suitable for all use cases

7. Fees & Payment

Fees, billing terms, and payment schedules are defined in your commercial agreement or order form with ABIDE.

Failure to pay fees may result in suspension or termination of access to the Services.

8. Availability & Support

ABIDE aims to provide high availability but does not guarantee uninterrupted or error-free operation.

Planned maintenance, updates, or unforeseen technical issues may result in temporary downtime.

Support terms are defined in your service agreement.

9. Intellectual Property

All rights, title, and interest in the Services—including software, designs, trademarks, and documentation—belong exclusively to ABIDE.

Nothing in these Terms grants you ownership of ABIDE intellectual property.

10. Confidentiality

Each party agrees to protect the other’s confidential information and to use it solely for purposes related to the Services.

This obligation survives termination of these Terms.

11. Termination

Either party may terminate the Services in accordance with the applicable agreement.

Upon termination:

  • Your access to the Services will end

  • Customer Content will be handled according to the data retention terms in your agreement or Privacy Policy

12. Disclaimer of Warranties

The Services are provided “as is” and “as available.”

To the maximum extent permitted by law, ABIDE disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law:

  • ABIDE will not be liable for indirect, incidental, or consequential damages

  • ABIDE’s total liability will not exceed the fees paid by you to ABIDE in the 12 months preceding the claim

14. Governing Law

These Terms are governed by the laws of [Insert jurisdiction], without regard to conflict of law principles.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Services or by other reasonable means.

Continued use of the Services after changes become effective constitutes acceptance.
